Terms of Service

Throughout these Terms, the following definitions apply:

• "Tiecoco" / "We" / "Us" -- Tiecoco Co., Ltd., a China-registered manufacturer of custom neckwear and accessories.
• "Client" / "Buyer" -- Any business entity, brand, or buyer placing an order for custom-manufactured goods.
• "Products" -- Custom ties, bow ties, pocket squares, vests, scarves, and related neckwear accessories manufactured by Tiecoco.
• "Order" -- A confirmed purchase order accepted in writing by Tiecoco.
• "Tech Pack" -- The complete design specification document provided by the Client, including artwork, color references (Pantone/PMS), dimensions, and material requirements.

All orders are subject to Tiecoco's current MOQ requirements, which vary by product type, material, and weaving technique. MOQs are communicated in the quotation stage and confirmed in the final Order.

An order is considered confirmed only upon Tiecoco's written acceptance and receipt of the required deposit. Tiecoco reserves the right to decline any order at its discretion prior to written confirmation.

The Client is responsible for providing complete and accurate Tech Packs prior to production. Tiecoco will not be held liable for deviations resulting from incomplete, ambiguous, or incorrect specifications.

• All artwork must be supplied in vector format (AI, EPS, or PDF) at 300 DPI minimum for printed products.
• Color matching is performed using Pantone (PMS) references. Tiecoco cannot guarantee exact color reproduction without an approved physical sample.
• Design changes requested after production has commenced may incur additional charges and revised lead times.
• The Client warrants that all submitted designs are original or properly licensed, and do not infringe upon third-party intellectual property rights.

Standard payment terms for B2B orders are as follows:

All payments are processed in USD unless otherwise agreed in writing. Accepted methods include T/T (bank wire transfer), L/C (Letter of Credit for orders over USD 20,000), and PayPal (subject to applicable fees). Overdue payments may result in order suspension and accrual of a 1.5% monthly late fee.

Standard production lead times are estimated from the date of deposit receipt and final design approval:

• Pre-production samples: 7-14 business days.
• Bulk production (standard orders): 25-45 business days after sample approval.
• Rush orders: Available subject to factory capacity; expedite fees apply.

Lead times are estimates and may be affected by material availability, public holidays (including Chinese New Year), or force majeure events. Tiecoco will promptly notify the Client of any anticipated delays.

Tiecoco maintains a rigorous multi-stage quality control process. All bulk production is inspected against the approved pre-production sample.

• Pre-production samples (PP samples) are required for all new designs. Production does not commence until the Client provides written sample approval.
• Sample fees are charged at cost and credited against the bulk order upon confirmation of a minimum order quantity.
• An industry-standard tolerance of ±3% variance in quantity and ±2mm in dimensions applies to all bulk orders.
• Third-party inspection (e.g., SGS, Bureau Veritas) is available at the Client's request and expense, coordinated through Tiecoco.
• Quality claims must be submitted in writing within 14 days of goods receipt, accompanied by photographic evidence and a detailed defect report.

Goods are shipped from our facility in China. Standard Incoterms applied are FOB (Yiwu/Shanghai) unless otherwise agreed in the Order confirmation.

• Risk of loss and title transfer to the Client upon handover to the freight carrier at the agreed port of origin.
• The Client is responsible for all import duties, customs clearance, and destination charges unless CIF or DDP terms are specifically agreed.
• Tiecoco can arrange freight forwarding and cargo insurance upon request; associated costs are billed to the Client.
• Tiecoco is not liable for delays caused by customs authorities, carrier disruptions, or force majeure events.

Tiecoco respects the intellectual property of all Clients and maintains strict confidentiality protocols.

• All Client-supplied designs, artwork, brand assets, and technical specifications are treated as strictly confidential. Tiecoco will not share, reproduce, or sell such materials to any third party.
• Tiecoco will not manufacture identical or substantially similar products for competing brands without the Client's prior written consent, subject to mutual NDA.
• All intellectual property rights in Client-supplied designs remain exclusively with the Client.
• Tiecoco retains ownership of all proprietary manufacturing processes, techniques, and know-how developed independently of any Client engagement.
• A formal Non-Disclosure Agreement (NDA) is available upon request and will be executed prior to sharing sensitive design information.

To the fullest extent permitted by applicable law:

• Tiecoco's total liability for any claim arising from an Order shall not exceed the total value paid by the Client for that specific Order.
• Tiecoco shall not be liable for indirect, consequential, incidental, or punitive damages, including lost profits or revenue.
• Tiecoco is not liable for defects or non-conformance arising from Client-provided specifications, materials, or approved samples.
• Force majeure events -- including natural disasters, pandemics, government restrictions, labor disputes, or port closures -- excuse Tiecoco from performance obligations for the duration of the event.

Remedies for confirmed manufacturing defects are limited to replacement of defective units, a credit note, or a partial refund at Tiecoco's discretion, following investigation.

These Terms are governed by the laws of the People's Republic of China. In the event of a dispute, the parties agree to first attempt resolution through good-faith negotiation within 30 days of written notice.

If negotiation fails, disputes shall be submitted to binding arbitration under the rules of the China International Economic and Trade Arbitration Commission (CIETAC), with proceedings conducted in English in Shanghai, China.

Nothing in this clause prevents either party from seeking urgent injunctive relief from a competent court to protect its intellectual property or confidential information.

Tiecoco reserves the right to update these Terms at any time. Clients will be notified of material changes via email or upon their next order inquiry. Continued engagement with Tiecoco following notification constitutes acceptance of the revised Terms.

By submitting a purchase order or signing a manufacturing agreement with Tiecoco, the Client acknowledges having read, understood, and agreed to these Terms in their entirety.
